Bench Boss Terms of Service
Welcome to Bench Boss. These Terms of Service ("Terms") are the agreement between you and Weaver Systems [ENTITY TYPE, e.g. LLC], a Texas, USA business ("Weaver Systems," "we," "us," "our"), that operates Bench Boss at benchboss.gg, the Bench Boss web app and any related tools, bots and pages (together, the "Service").
We've tried to write this in plain language. Please read it. By creating an account, claiming a club, buying a plan or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use the Service.
If you live in Québec or elsewhere in Canada, some sections below work differently for you because of your local consumer protection laws. Look for the "Québec and Canada" notes. Nothing in these Terms takes away rights that your local law says can't be taken away.
1. The short version
- Bench Boss is an unofficial companion app for EA SPORTS NHL club ("EASHL," "chel") players. Bench Boss is not endorsed by or affiliated with Electronic Arts or its licensors.
- We read public EA club and match stats and turn them into Bench Boss grades, coaching, scouting and more.
- Grades are opinions, not official ratings. Your club decides who plays. We aren't responsible for team decisions.
- EA data can change or stop at any time. We can't guarantee it.
- Be decent in chat. No harassment, hate, cheating or doxxing.
- You own what you post. You give us the permission we need to run the Service with it.
- Paid plans renew automatically until you cancel. You can cancel any time in your billing settings.
- We only collect game data for clubs on a paid plan or free trial. When a club's plan ends, we stop, keep its saved data for 45 days (re-subscribe to get it all back), then delete it (Section 10.11).
- You must be 13 or older (14 in Québec). Teens get free player accounts; only adults can buy, and a parent can buy a plan for a teen (see Section 3).
The short version isn't a substitute for the full Terms below.
2. What Bench Boss is
Bench Boss gives EASHL clubs tools built around their games, including:
- Stats and EA ratings: gamertags, per-game stats, EA's own ratings, build codes and club records read from public EA club and match data.
- Bench Boss grades and coaching: letter grades and coaching feedback calculated by Bench Boss, with grading that a club's coach can customize.
- Scout: information about opponents, including an estimated win chance.
- Team chat: club chat with photos, clips, emoji and reactions, on the Club plan. Clubs without a plan see a locked preview.
- Film: automatic clips from Twitch VODs for supported clubs, video uploads for other clubs, coach marks and highlight reels.
- Twitch stream viewer: an embedded Twitch player so you can watch streams in the app.
- Career page: a player's history across the clubs they've played for.
- My builds: loadouts that players enter themselves.
- AI-assisted text: explanations, coaching wording and translations written with help from an AI tool. AI never changes a grade. Grades come only from game stats and the club's grading settings.
We add, change and remove features over time. Some features are only available on paid plans (Section 10).
3. Who can use Bench Boss
Minimum age. You must be at least 13 years old (14 if you live in Québec) to create an account. When you sign up we ask for your birth month and year and where you live. If you don't meet the minimum age, we won't create an account, and we don't keep what you entered (we only set a short-lived cookie so the form can't be retried right away). If we learn an account belongs to someone under the minimum age, we'll close it and delete its information.
Teens (13 or older, but under the age of majority). The age of majority is 18, or 19 in British Columbia, New Brunswick, Newfoundland and Labrador, Nova Scotia, Nunavut, the Northwest Territories and Yukon (and 19 in Alabama and Nebraska, and 21 in Mississippi). A teen may have a free player account. Teens can't buy anything. If a teen wants a paid plan (for example, to run a club as its coach), they use "Ask a parent": we email a single-use link to the parent or legal guardian they name. The link expires after 72 hours.
Parents and guardians. To approve, a parent or guardian creates their own Bench Boss account, confirms they are at least 18 and of the age of majority where they live and that they are the teen's parent or legal guardian, and accepts these Terms and our Privacy Policy on the teen's behalf. The parent then pays through Stripe Checkout as the customer. The parent owns the subscription; the teen is the person who uses it. The parent is responsible for the teen's use of the paid plan, and can see the plan, cancel it, or withdraw approval at any time from their Family page. Withdrawing approval ends the teen's access to the paid plan right away; billing stops at the end of the current paid period (refunds follow Section 10.8). Lying about age or about being a parent or guardian is a breach of these Terms.
Québec. Because we don't open accounts for anyone in Québec under 14, we don't collect a Québec child's personal information through accounts. Where a parent asks us to remove a rostered gamertag that belongs to a child under 14, we do so (see our Privacy Policy).
Players without accounts. You don't need an account to appear in Bench Boss. If your club's coach or captain has claimed the club, rostered players are graded automatically from public EA data. Our Privacy Policy explains this and how to opt out or ask us to remove your information.
Your promise. By using the Service, you confirm that you meet these requirements, that you're allowed to use the Service under the laws that apply to you, and that we haven't previously banned you.
4. Your account
Signing up. You sign in with an email magic link or with Discord. Use an email address or Discord account you control, and keep it secure. Anyone who can open your email or Discord account may be able to get into your Bench Boss account.
Coaches and captains. A coach or captain must have an account to claim a club (Section 5).
Players. Player accounts are optional. Your player account belongs to you, not to your club. If you leave a club, are removed from its roster, or the club stops using Bench Boss, your account, your Career page, your own grade history and any Pro Player plan stay with you.
Former members. When a player leaves a club, the player keeps their own history and Career page, and the club keeps its past games, including the stats and grades from games the player played for that club.
Accurate information. Keep your account information accurate. Don't impersonate anyone or claim a gamertag that isn't yours.
Responsibility. You're responsible for what happens under your account. Tell us right away at [support@benchboss.gg] if you think someone has accessed it without permission.
5. Claiming a club, and club disputes
Claiming. A coach or captain claims a club by signing in and completing the verification step we show at the time [DESCRIBE VERIFICATION, e.g. adding a code to the in-game club description or confirming in-game club admin status]. The person who claims a club (the "club owner") controls its settings, roster tools, grading settings, chat moderation tools and club plan, and can give other members coach or moderator roles.
You must have the right to claim. Only claim a club you actually run or help run in the game, or that the club's leadership has agreed you can manage.
Club owner responsibilities. The club owner is responsible for how the club uses Bench Boss, including the grading settings, who has coach or moderator roles, what is shared in club chat and Film, and making sure club members know the club uses Bench Boss.
Disputes. If two people claim the same club, or a club's leadership changes, we may: - ask for proof (for example, a screenshot of in-game club management, or a fresh verification step); - keep the club in its current state while we look into it; - move control of the club to the person we reasonably believe has the stronger claim.
We'll try to be fair and act in good faith, but our decision on who controls a club inside Bench Boss is final as far as the Service is concerned. We aren't a referee for disputes inside your club, and we can't settle disagreements about who "owns" an in-game club.
Payments after a transfer. A club plan belongs to the person who paid for it. If control of a club moves to someone else, the original payer may cancel their plan. If the original payer is removed because they had no right to claim the club, we don't owe a refund, unless the law requires one. In other cases we may give a pro-rated credit or refund at our discretion.
6. Unofficial status, EA and other third parties
Bench Boss is an independent fan tool, not affiliated with, endorsed by, or sponsored by Electronic Arts Inc. or the NHL. EA SPORTS NHL and related marks belong to their owners.
Where our data comes from. Bench Boss uses only EA's publicly available club and match data (the same data shown on EA's public club pages). We don't use EA account logins, private EA data, or any EA data that isn't public.
No EA or NHL logos. Bench Boss doesn't use EA, EA SPORTS, NHL or NHL team logos, crests or other artwork in the app, on the site, or on share cards and clips. We mention names only to describe what Bench Boss works with. If you think we've used a mark wrongly, contact us (Section 20) and we'll fix it.
EA, EA SPORTS, NHL, team names and related marks belong to their owners. We use them only to describe what the Service works with. We don't sell EA's game stats. Paid plans pay for Bench Boss's own tools and for collecting, storing and grading your club's games. Players never pay to join a club.
EA data can change or stop. The Service depends on public data published by EA, which EA can change, limit, block, delete (for example at the yearly game rollover) or stop at any time, without notice to us. We don't guarantee that any EA data will be available, complete, accurate or on time, or that any feature that depends on it will keep working. See Section 10.8 for what happens to paid plans if we have to pause.
Twitch. Film auto-clips and the embedded stream viewer rely on Twitch. When you watch an embedded stream, Twitch's own terms and privacy policy apply to what you do in the Twitch player. Twitch may change or stop its services at any time.
Discord. If you sign in with Discord or use a Bench Boss Discord integration, Discord's terms also apply to your Discord account.
Third-party terms. You're responsible for following the terms of the games, platforms and services you use with Bench Boss, including EA's User Agreement, Twitch's Terms of Service and Discord's Terms of Service. We aren't responsible for third-party services, and links or embeds from them don't mean we endorse them.
7. Acceptable use and chat conduct
Bench Boss is for a hockey club's banter, film and feedback. Chirping is part of hockey. Hurting people isn't. You must not use the Service to:
- Harass, bully, threaten or intimidate anyone, including repeated unwanted messages or pile-ons, or encourage self-harm.
- Post hate speech or attack people based on race, ethnicity, national origin, religion, caste, sex, gender identity, sexual orientation, disability, serious illness, age or similar characteristics.
- Dox anyone: share someone's real name, address, phone number, school, workplace, photos or other private information without their permission, or threaten to.
- Post sexual content involving minors (we report it to authorities), sexually explicit content, non-consensual intimate images, or graphic violence or gore.
- Cheat or promote cheating, including boosting, account selling or sharing, stat padding through exploits, match fixing, using unauthorized third-party programs, or anything else that breaks EA's rules.
- Manipulate grades or stats, for example by faking games, abusing bugs, or misrepresenting who played.
- Impersonate another person, club, Bench Boss or EA, or claim a gamertag or club that isn't yours.
- Post content you don't have the right to share, or that infringes someone's copyright, trademark, privacy or publicity rights.
- Spam, run scams, phish, or advertise without permission.
- Upload malware, or try to hack, probe, overload or interfere with the Service or anyone's account.
- Scrape, crawl or bulk-download the Service, or use it to build a competing database, without our written permission.
- Get around plan limits, paywalls, bans, rate limits or security features.
- Break any law, or help anyone else do any of the above.
Club moderation. Coaches and club moderators can remove chat messages and media in their club and remove members from club chat. Use those tools fairly.
Reporting. Use the in-app report option where available, or email [support@benchboss.gg]. If someone is in immediate danger, contact local emergency services first.
8. Your content
What counts as your content. "Your content" means anything you add to the Service: chat messages, reactions, photos, video uploads, clips, coach marks, highlight reels, My builds entries, comments and profile details.
You keep ownership. You own your content (or have the rights to it). These Terms don't transfer your ownership to us.
The license you give us. So we can run Bench Boss, you give Weaver Systems a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transcode, cut into clips, resize, display, perform and send your content, and to translate or summarize it with AI tools, only to operate, secure, provide and improve the Service for you and the people you share it with (for example, your club). This license includes our service providers acting for us.
- The license ends when your content is deleted from the Service, except for copies kept in backups for a limited time, copies we must keep by law, and content that other people have already shared or saved within the Service in the normal way (for example, a clip a coach included in a highlight reel).
- We won't use your chat messages, photos or videos in ads or marketing without asking you first.
- We don't sell your content, and we don't allow our AI provider to use it to train its models (see our Privacy Policy).
Club content. Content posted in a club is visible to that club's members according to the club's settings. Club owners and moderators can remove content in their club. When you leave a club, messages and media you posted there may stay visible in the club's history unless you delete them first or ask us to remove them.
Film from Twitch. If your club connects a Twitch channel for auto-clips, you confirm that you own that channel or have permission from its owner, and that the owner agrees to Bench Boss clipping and storing parts of its VODs for the club.
Your promises. You confirm that you have all the rights needed to post your content and give us this license, and that your content and our use of it as allowed here won't break the law or anyone's rights. Video of EA games is subject to EA's own rules about game content, which you're responsible for following.
Feedback. If you send us ideas or suggestions, we may use them without owing you anything.
9. Copyright complaints (DMCA) and takedowns
We respect intellectual property and expect users to do the same.
To report infringement, send a notice to our designated agent:
Copyright Agent, Weaver Systems [MAILING ADDRESS] Email: [legal@benchboss.gg]
Your notice should include: 1. your physical or electronic signature; 2. a description of the copyrighted work you say is infringed; 3. where the material is on the Service (a link or enough detail for us to find it); 4. your name, address, phone number and email; 5. a statement that you have a good-faith belief the use isn't authorized by the copyright owner, its agent or the law; and 6. a statement, made under penalty of perjury, that the information in your notice is accurate and that you're the copyright owner or authorized to act for the owner.
Counter-notice. If your content was removed and you believe that was a mistake or that you had the right to post it, you can send a counter-notice to the same address. Include: your signature; a description of the removed material and where it was; a statement under penalty of perjury that you have a good-faith belief it was removed by mistake or misidentification; your name, address and phone number; and a statement that you consent to the jurisdiction of the U.S. federal district court for your address (or, if you're outside the U.S., any judicial district where Weaver Systems may be found) and will accept service from the person who sent the original notice. We may restore the material in 10 to 14 business days unless the complainant tells us they've filed a court action.
Repeat infringers. We will terminate accounts of users who repeatedly infringe, in appropriate circumstances.
Other complaints. For trademark, privacy, publicity or other legal complaints about content, email [legal@benchboss.gg]. We accept notices from anywhere, including Canada.
False claims. Knowingly false notices or counter-notices can lead to liability for damages.
10. Plans, payments, trials and refunds
10.1 Plans and prices
| Plan | Monthly | Yearly | What it's for |
|---|---|---|---|
| Basic player | $0 | $0 | A player account, a Career page, and joining any club that has a Club plan or trial. Clubs without a plan or trial get no game collection (Section 10.11) |
| Coach / Club (per club) | US$9.99 | US$99.90 | Bench Boss grades, custom grading, coaching, team chat, Scout and more |
| Film Room (add-on to Club) | US$14.99 | US$149.90 | Full games, clips, highlight reels, coach marks |
| Pro Player (per player) | US$4.99 | US$49.90 | A player's own Bench Boss grades and coaching, deeper personal trends |
Our pricing page shows the current features and prices. Prices may change under Section 10.7. The price you pay is the one shown at checkout.
Prices are in US dollars. Prices are charged in US dollars; taxes where they apply (including Canadian GST/HST/QST) are shown at checkout. A yearly plan covers 12 months from the day you buy it.
10.2 Free trial
New clubs can try the Club plan free for 14 days, with no payment card required. [Film Room trial: 7 days, alongside the Club trial.] When the trial ends, unless you choose a paid plan, we stop collecting new games for your club and the 45-day rule in Section 10.11 applies. We won't charge you for a trial, and one trial per club and person.
10.3 Founders, Founding Texans and other special offers
Some clubs or players get special entitlements, such as Founders or Founding Texans status, which may include free-forever access to certain plans or features. Unless the offer says otherwise: - "free forever" means for as long as we offer that plan or feature as part of the Service, not beyond the end of the Service; - the entitlement is personal to the club or account it was given to, can't be sold or transferred, and has no cash value; - if a feature included in the entitlement is replaced, we'll give you a reasonably similar feature where we can; - we may end an entitlement if the holder seriously or repeatedly breaks these Terms.
The terms shown with an offer when you accept it also apply. Founding member price. If your club moves from its free trial to a paid monthly Club plan during early access, your Club price is locked at US$7.99 per month (list price US$9.99) for as long as that subscription stays active without a gap. The locked price excludes taxes and add-ons such as Film Room or Pro Player. It ends if you cancel, or if your plan ends after a failed payment (Section 10.5).
10.4 Payment and taxes
Payments are processed by Stripe in US dollars or Canadian dollars. We don't see or store your full card number. You authorize us, through Stripe, to charge your payment method for the plan you choose, plus applicable taxes. We collect sales tax, GST/HST, QST and other taxes where the law requires, and taxes are shown at checkout. Your bank may charge its own fees, such as currency conversion fees.
10.5 Automatic renewal
Paid plans renew automatically until you cancel: - Monthly plans renew each month on your billing date at the then-current price. - Yearly plans renew each year on your billing date at the then-current yearly price. We'll email you a reminder at least [7] days before a yearly plan renews.
By subscribing, you agree to these recurring charges. If a payment fails, we may retry it, and your Club features stay on for 7 days while you fix it. If it isn't fixed within those 7 days, your plan ends and Section 10.11 applies.
10.6 Cancelling
You can cancel any time online in your account's billing settings (through Stripe's billing portal) or by emailing [support@benchboss.gg]. When you cancel, your plan stays active until the end of the period you've already paid for, then it won't renew. From then on we stop collecting new games for your club, and your club's saved data is held for 45 days and then deleted, as Section 10.11 explains.
10.7 Price and plan changes
We may change prices or what a plan includes. We'll give you at least 30 days' notice by email before a price increase applies to your plan. The new price applies from your next renewal after the notice period. If you don't want to pay the new price, you can cancel before it takes effect.
10.8 Refunds and service pauses
- Generally, payments are non-refundable and we don't give refunds or credits for partial months or seasons, unused features, or if you forget to cancel, except as described below or where the law requires it.
- If we pause the Service. If we pause a paid feature you're paying for for more than [7] consecutive days (for example, because EA data becomes unavailable or we temporarily suspend paid features while we deal with a third-party issue), we'll give you a pro-rated credit for the paused time, applied to your next renewal. You can also cancel during a pause.
- If we end a paid feature or shut down. If we permanently stop offering a paid plan or feature you prepaid for (such as a yearly plan), we'll give you a pro-rated refund of the unused prepaid time.
- Billing mistakes. If we charged you in error, contact us within [60] days and we'll fix it.
- First-charge courtesy. [OPTIONAL — DECIDE: e.g. refund on request within 7 days of your first paid charge if you haven't used paid features much.]
Québec and Canada. If you live in Québec, you have the rights given by the Québec Consumer Protection Act. For example, you may cancel a distance contract in the cases and within the deadlines set by that law, and if we don't refund amounts we owe you after cancellation, you may ask your card issuer to reverse the charge. Consumers elsewhere in Canada also keep any cancellation and refund rights given by their provincial consumer protection law. Nothing in this section limits those rights.
10.9 Chargebacks
If you think a charge is wrong, please contact us first, and we'll try to fix it quickly. We may suspend paid features on an account while a chargeback is open, unless the law doesn't allow it.
10.10 Plans bought by a parent for a teen
When a parent or guardian buys a plan for a teen (Section 3), the parent is the customer for everything in this Section 10: the parent's card is charged, the parent gets receipts and renewal notices, and only the parent can cancel, ask for a refund or dispute a charge. The teen can't change payment details or buy anything else. If the parent withdraws approval, or the teen's account is closed, the plan stops renewing and the teen's access ends. When the teen reaches the age of majority, the parent decides. We check daily, using the teen's birth month and year and the rule for where they live, and email the parent when the teen becomes an adult. On their Family page the parent can choose: - Hand the plan to the teen. The now-adult teen must accept and add their own payment method. They are first charged at the next renewal, and the parent stops being billed from that renewal on. Until the teen has accepted and added payment, the plan stays with the parent and the parent's billing continues. - Keep paying. The plan stays owned and paid for by the parent, and the parent's approval becomes an arrangement for an adult beneficiary. The parent can still cancel at any time.
If the parent does nothing, the plan stays with the parent on the same terms. Once the parent makes a choice, it can't be changed from the Family page; contact support if you need help. The teen sees a notice about what's happening, but can't make the choice for the parent.
10.11 Club data after a plan ends (45 days)
- We only collect game data for clubs on a plan. Bench Boss collects and saves new EA game data only for clubs with an active paid Club plan or an active free trial.
- When a plan ends, collection stops right away. A club's plan ends when the coach cancels and the paid period runs out, when a trial ends without a paid plan, or when a failed payment isn't fixed within 7 days. From that moment we stop collecting new games for the club. Games played while the club has no plan are not collected, and we may not be able to get them later because EA only shows a club's most recent games.
- We hold the club's saved data for 45 days. The club's game history, stats, Bench Boss grades, grading settings and club film (clips, highlight reels and coach marks) stay saved, but read-only, for 45 days after the plan ends.
- Re-subscribe within 45 days and everything comes back. If anyone restarts a Club plan for the club within those 45 days, the saved data is restored as it was and collection starts again.
- Reminder around day 38. About 7 days before deletion, we email the coach who held the plan at the email address on the account.
- Deleted at day 45. On or shortly after day 45, we permanently delete the club's game history, stats, grades, grading settings and club film. After that it can't be restored, even if the club subscribes again later. Copies in backups are removed as backups roll over, within a further [35] days.
- What stays. Player accounts, Career page settings and team chat are not deleted by this rule; they follow our Privacy Policy. Billing records we must keep by law are kept.
- No refunds for deleted data. Holding and deleting club data after a plan ends doesn't create a right to a refund or credit. Refunds follow Section 10.8 only.
11. Grades, Scout and AI text are opinions
- Bench Boss grades are our opinion, calculated by our formulas and the club's grading settings from game stats. They're not official, not EA ratings, and not a professional assessment of anyone's skill or worth.
- Roster decisions are the club's. The club decides who actually plays. The club owner and coaches are responsible for lineup and roster decisions and how they communicate them.
- Scout win chances are estimates and may be wrong.
- AI-assisted text (explanations, coaching wording, translations) can contain mistakes or awkward wording. AI never changes a grade.
- Stats can be wrong or incomplete, for example if EA's data is late, missing or changed, or a player switched positions.
We aren't responsible for team decisions, including who plays, who sits, who is cut or recruited, or any disagreement, lost game, lost rank, hurt feelings or other result that comes from relying on grades, Scout, coaching or AI text.
12. Our rights in the Service
The Service, including our software, design, grading formulas, text, logos and the Bench Boss name, belongs to Weaver Systems or its licensors and is protected by law. We give you a personal, limited, non-exclusive, non-transferable, revocable license to use the Service as these Terms allow. Except for your content, you may not copy, sell, reverse engineer or make derivative works of the Service except where the law allows it.
13. Moderation, suspension and termination
What we can do. We may review, remove or limit access to content, and warn, restrict, suspend or terminate accounts or clubs, if we reasonably believe someone has broken these Terms, the law or others' rights, or to protect users, the Service or third parties. Where it's reasonable and safe to do so, we'll tell you why and give you a chance to respond. We don't have to monitor content, but we may.
Appeals. If you think we got it wrong, email [support@benchboss.gg] within [30] days and we'll review it.
You can leave any time. You can stop using the Service and delete your account in your settings or by emailing [privacy@benchboss.gg]. The Privacy Policy explains what happens to your data. If you're a coach, leaving or deleting your account ends your club's plan at the end of the paid period, and Section 10.11 applies to your club's data.
Refunds on termination. If we terminate your account for a serious or repeated breach of these Terms, we don't owe a refund for unused time, except where the law requires it. If we terminate your account or a paid plan for any other reason, we'll refund the unused prepaid time on a pro-rated basis.
What survives. Sections that by their nature should continue after termination (for example, the backup and legal-retention parts of Section 8, and Sections 11 and 14 to 19) continue.
14. Disclaimers
To the fullest extent the law allows, the Service is provided "as is" and "as available." We don't promise that the Service will be uninterrupted, error-free, secure, or that data (including EA data, grades, Scout and AI text) will be accurate, complete or available. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, title and non-infringement.
Québec and Canada. This section doesn't limit the legal warranties you have under the Québec Consumer Protection Act or the Civil Code of Québec, or the non-waivable warranties and conditions of any other consumer protection law that applies to you.
15. Limitation of liability
To the fullest extent the law allows: - Weaver Systems and its owners, employees and service providers won't be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost data, lost games or rankings, or loss of goodwill, arising from or related to the Service or these Terms, even if we were told they might happen. - Our total liability for all claims about the Service or these Terms is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) US$50.
These limits don't apply to liability that can't be limited by law, such as liability for fraud, gross negligence or intentional misconduct where the law doesn't allow it to be limited.
Québec. If you're a consumer in Québec, we don't exclude or limit our liability for our own acts or those of our representatives, as required by section 10 of the Québec Consumer Protection Act, and this section applies only as far as Québec law allows.
16. Indemnity
If you're using the Service other than as a consumer (for example, on behalf of a business, league or organization), or to the extent the law in your place allows it for consumers, you agree to defend and compensate Weaver Systems for claims, losses and reasonable legal fees that come from your content, your breach of these Terms or your violation of the law or someone else's rights. We'll tell you about the claim and let you take part in the defense.
This section doesn't apply to consumers in Québec, or to any consumer where the law doesn't allow it.
17. Changes to these Terms or the Service
Changes to the Service. We may change, add or remove features. If a change significantly reduces a paid feature you prepaid for, Section 10.8 applies.
Changes to these Terms. We may update these Terms. If a change is material, we'll give you at least 30 days' notice by email or in the app before it takes effect, showing what's changing. Other changes (for example, clearer wording or new features) take effect when we post them. If you don't agree to a change, you can stop using the Service and cancel your plan before the change takes effect. If you keep using the Service after a change takes effect, you accept it.
Québec. If you're a consumer in Québec, we'll send you a written notice at least 30 days before a change takes effect, setting out the new clause (and the old one, if any), the date it takes effect, and your right to refuse the change and cancel the contract without cost or penalty within 30 days after it takes effect.
18. Governing law and disputes
Talk to us first. Most problems can be solved quickly. Please email [legal@benchboss.gg] and give us 30 days to try to resolve it informally.
Governing law. These Terms are governed by the laws of the State of Texas, USA, and applicable U.S. federal law, without regard to conflict-of-laws rules.
Where disputes are heard. Any claim must be brought in the state or federal courts located in [COUNTY] County, Texas, and both parties consent to their jurisdiction. Either of us may instead bring an individual claim in small claims court where you live, if it qualifies.
Québec and Canada consumer carve-outs. If you're a consumer who lives in Québec or elsewhere in Canada: - you keep the protection of the mandatory laws of your province, including the Québec Consumer Protection Act and the Civil Code of Québec, even though Texas law otherwise applies; - you may bring a claim in the courts of your province, and for Québec consumers, the Québec courts have jurisdiction as the law provides; - nothing in these Terms requires you to use arbitration or waives your right to take part in a class action where your law protects that right.
Other consumers. If you're a consumer elsewhere (including the EU or UK), you also keep any mandatory protections and court choices your local law gives you.
19. General terms
- Entire agreement. These Terms, the Privacy Policy and any offer terms you accept are the whole agreement between you and us about the Service.
- Severability. If part of these Terms can't be enforced, the rest stays in effect.
- No waiver. If we don't enforce a right right away, we haven't given it up.
- Assignment. You can't transfer your rights under these Terms. We may transfer them in a merger, acquisition or sale of assets, or to an affiliate, as long as your rights aren't reduced. We'll tell you if that happens.
- Force majeure. We aren't responsible for delays or failures caused by events beyond our reasonable control, including outages or changes by EA, Twitch, Discord, Cloudflare, Stripe or internet providers.
- Notices. We may send you notices by email or in the app. You can send us notices at the contact details below.
- Language. These Terms are available in English and Québec French. If you live in Québec, the French version was presented to you first and is the version that governs. Elsewhere, if the versions differ, the English version governs except where local law requires otherwise.
- Export and sanctions. You confirm you aren't in a country or on a list where U.S. law prohibits us from providing the Service.
